EDWARDS - METCALFE WATCH BY-LAWS (Revised 31 October 2009)
ARTICLE 1 – NAME. The name of the organization is the Edwards-Metcalfe Watch.
ARTICLE 2 – ORGANIZATIONAL AREA. The Organizational Area shall be the area bounded on the north by Mitch Owens Road, on the west by John Quinn Road, on the east by Boundary Road and on the south by Regional Road number 6, excluding the Village of Metcalfe. All activities of the organization shall be restricted to the Organizational Area.
ARTICLE 3 – OBJECTIVE. The general objective of the organization shall be to help keep the crime rate in the Organizational Area as low as possible. This objective shall be pursued only through passive methods such as patrols, vigilant observations, communication with local police, collaboration with other neighborhood watch groups in the area.
ARTICLE 4 – COMPOSITION. The organization is made up of volunteers who are residents of our patrol area. Volunteers can contribute as active observers, patrolers or members of the executive committee.
ARTICLE 5 – FINANCIAL RESTRICTIONS. The organization is registered as a non-profit charitable foundation. All revenues and donations in kind shall be used solely in pursuit of the stated objectives. All work done by members shall be on a volunteer basis. In the event of dissolution of the organization, all its net assets shall be donated by the executive members to another appropriate volunteer organization in the Edwards-Metcalfe-Osgoode community.
ARTICLE 6 - GENERAL MEETINGS. An Annual General Meeting shall be held once per calendar year. At every Annual General Meeting, in addition to any other business that may be transacted, the report of the Executive Committee and the Financial Statements as of the end of the Fiscal Year shall be presented. Fourteen (14) days' written notice (hardcopy or electronic) of any Annual or Special General Meeting shall be given. The notice shall provide sufficient information to permit reasoned judgment on every non mandatory business item to be transacted.
ARTICLE 7 – COMPOSITION AND ROLE OF THE EXECUTIVE COMMITTEE. The Executive Committee shall consist of between six (6) and eight (8) Volunteers of the organization, called Executive Members. They are elected in Annual Elections. Except in the initial year, every Executive Membership shall generally be for a term that expires at the time of the Annual Election two years later. The Executive Committee shall have the power and the duty to manage the affairs of the organization. This includes, but is not limited to, the duty to implement the provisions of these by-laws and, in pursuit of the objectives, to make regulations, to engage in financial transactions, to call General Meetings and to amend/revise the by-laws as appropriate. |
